Survey Master 3.5.0 includes an enhanced CAD engine. A measurement grade has been added to the CAD to improve the software’s utility in design and planning projects. For GIS needs

RTK Torch is designed for high-precision geolocation and GIS needs. It has tri-band reception and tilt compensation.

The RTK Torch can provide millimeter-grade measurements. Users can connect a phone to the device over Bluetooth and receive the NMEA output and work with most GIS software.

The RTK Torch features Zero-Touch RTK technology, which gives connected devices WiFi credentials for a hotspot or other WiFi network. The device will begin receiving corrections without any further setup, with no NTRIP credentials required. These corrections are obtained over WiFi from u-blox PointPerfect and are available in the United States, Europe and various parts of Australia, Canada, Brazil and Korea.

The RTK Torch includes a one-month free subscription to PointPerfect. Additional subscriptions can be purchased if desired. If PointPerfect coverage is not available in the area, corrections from a local base station or service can be provided to the device over NTRIP, delivered via Bluetooth or WiFi.

It is housed in an IP67-rated enclosure. It is waterproof when submerged up to 1 m for up to 30 minutes when the USB cover is closed. Under the hood of the SparkFun RTK Torch is an ESP32, a UM980 L1/L2/L5 high precision GNSS receiver from Unicore, and an IM-19 for tilt compensation. The addition of the L5 reception makes this portable GNSS device ideal for densely canopied areas where normal L1/L2 reception may have problems.

The NovAtel Application Suite Version 2.0 now includes GNSS Resilience and Integrity Technology (GRIT). The GRIT Monitor application allows users to observe radio frequency (RF) interference through a comprehensive dashboard to make informed decisions to maintain robust positioning.

GRIT is RF interference detection and mitigation technology available on all OEM7 GNSS receiver products, including individual cards and enclosures such as smart antennas, PwrPak and MarinePak.

logosTeledyne Technologies will acquire FLIR Systems in a cash and stock transaction valued at $8 billion, both companies announced on Jan. 4.

Teledyne is a provider of sophisticated instrumentation, digital imaging products and software, aerospace and defense electronics, and engineered systems. Its operations are primarily in the United States, Canada, the United Kingdom, and Western and Northern Europe.

Founded in 1978, FLIR is an industrial technology company focused on intelligent sensing solutions for defense and industrial applications.

Under the terms of the agreement, FLIR stockholders will receive $28 per share in cash and 0.0718 shares of Teledyne common stock for each FLIR share, which implies a total purchase price of $56.00 per FLIR share based on Teledyne’s five-day volume weighted average price as of December 31, 2020. The transaction reflects a 40% premium for FLIR stockholders based on FLIR’s 30-day volume weighted average price as of Dec. 31, 2020.

As part of the transaction, Teledyne has arranged a $4.5 billion 364-day credit commitment to fund the transaction and refinance certain existing debt. Teledyne expects to fund the transaction with permanent financing prior to closing. Net leverage at closing is expected to be approximately 4.0x adjusted pro forma EBITDA with leverage declining to less than 3.0x by the end of 2022.

Teledyne expects the acquisition to be immediately accretive to earnings, excluding transaction costs and intangible asset amortization, and accretive to GAAP earnings in the first full calendar year following the acquisition.

However, our technologies and products are uniquely complementary with minimal overlap, having imaging sensors based on different semiconductor technologies for different wavelengths,” said Robert Mehrabian, executive chairman of Teledyne. “For two decades, Teledyne has demonstrated its ability to compound earnings and cash flow consistently and predictably. Together with FLIR and an optimized capital structure, I am confident we shall continue delivering superior returns to our stockholders.”

Fourth-quarter financial results. In a separate press release issued today, Teledyne announced improved preliminary financial results for the fourth quarter and full year 2020. The Teledyne press release is available on www.teledyne.com. FLIR noted today that it expects to meet or exceed the full year fiscal 2020 guidance it provided on Oct. 30.

Approvals and timing. The transaction, which has been approved by the boards of directors of both companies, is expected to close in the middle of 2021 subject to the receipt of required regulatory approvals, including expiration or termination of the applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act, approvals of Teledyne and FLIR stockholders and other customary closing conditions.

Advisors. Evercore is acting as exclusive financial advisor and McGuireWoods LLP is acting as legal advisor to Teledyne in connection with the transaction. Goldman Sachs & Co. LLC is acting as exclusive financial advisor and Hogan Lovells US LLP is acting as legal advisor to FLIR in connection with the transaction. Teledyne has entered into a 364-day senior unsecured bridge facility credit agreement with Bank of America as sole lead arranger and administrative agent.

FLIR Systems Inc. has acquired Altavian Inc., a privately held manufacturer of small unmanned aerial systems (sUAS) for defense and public-safety customers.

Altavian’s airframes integrate multiple sensors, including FLIR thermal technology, to provide users with decision support and intelligence, surveillance and reconnaissance (ISR) capability.

Based in Gainesville, Florida and founded in 2011, Altavian designs and manufacturers Group 1 UAS solutions for long or short range operations. With both quadcopter and fixed-wing UAS designs, Altavian’s expertise includes aeronautics, avionics, and software, and its solutions are engineered around an open system architecture aligned to the needs of government and defense customers.

Altavian is one of five drone manufacturers approved by the U.S. Department of Defense under the Blue sUAS program to sell to the U.S. military and federal agencies.

“Altavian’s proven engineering expertise and assets will allow us to offer customers the most comprehensive solution portfolio of any American sUAS provider,” said Roger Wells, general manager of the Unmanned Systems and Integrated Solutions business of FLIR Systems’ Defense Technologies Segment, under which Altavian will be integrated. “With the addition of both a low-cost, rapidly deployable quadcopter and a longer range fixed-wing UAS, FLIR is strengthening its already impressive drone lineup, including our Black Hornet and SkyRaider platforms used extensively by militaries around the globe. Remote GeoSystemNorth Shore Rescue and Talon Helicopters have successfully deployed a geoDVR Gen2 with a FLIR daylight EO/IR gyro-stabilized video camera on an Airbus TwinStar (AS355) for search-and-rescue (SAR) missions.

The geoDVR Gen2 is an advanced mil-spec DVR for recording multiple channels of HD & Standard-Definition geospatial full motion video in airborne and rugged vehicle environments.

The geoDVR’s ability to reliably record HD color and infrared, along with continuous GPS data and Live Moving Maps, make it suited for professional airborne search and rescue, law enforcement and infrastructure inspection applications that utilize multi-sensor gimbal video cameras.

“Remote Geo has a reputation for building one of the industry’s most dependable and user-friendly airborne geospatial video recorders, complete with flexible post-flight mapping tools. So the geoDVR Gen2 was an obvious choice when we were asked to fly the FLIR on the TwinStar for mountain search and rescue,” says Peter Murray, Founder/Operations Manager at Talon Helicopters.

“Adding the FLIR camera to North Shore Rescue’s toolbox has been a great enhancement to NSR’s capabilities,” said Jim Loree, North Shore Rescue SAR manager and air operations coordinator. “Having the ability to record and geo-track the location of the video seemed essential to maximizing the full potential of the FLIR camera. The geoDVR allows searchers to review recorded video for clues that may or may not have been observed during the flight.”

“This feature could also be highly valuable in a large-scale disaster such as an earthquake where widespread areas are surveyed for damage,” Loree said. “Emergency Operation Centers would be able to use the data to help them make decisions on where and how to deploy resources based on the exact location and extent of damages provided by the video recording.”

North Shore Rescue and Talon Helicopters will use the geoDVR with a FLIR generously donated by Port of Vancouver to perform helicopter-based SAR operations with color and infrared. Then, using LineVision™ software post-flight, North Shore Rescue will review the geoDVR videos and flight tracks overlaid on Google Earth and Esri maps for training mission planning and recovery operations.

Because North Shore Rescue is an all volunteer organization, Remote GeoSystems donated 18 LineVision Esri Maps and LineVision Google Earth licenses as part of the implementation.

FLIR Systems Inc. has announced the FLIR Vue Pro R, the latest member of FLIR Vue thermal imaging camera series for commercial drones.

FLIR-Vue-Pro-RThe new Vue Pro R adds radiometric functionality to the Vue Pro camera, giving drone operators the ability to save the pictures for post-flight image analysis and accurately measure the temperatures of individual image pixels.

The camera was introduced at AUVSI’s Xponential 2016 trade show, being held this week in New Orleans.

The Vue Pro R retains all of the capabilities in the standard Vue Pro model but adds calibrated radiometric imaging that allows it to capture the temperature data of every pixel in an image. When saved in Radiometric JPEG format, still images can be imported into FLIR Tools software for detailed analysis and reporting.

FLIR Tools, a free download on FLIR.com, lets drone operators adjust settings including object emissivity, background temperature, target distance, relative humidity, thermal sensitivity as well as assigning various color palettes for each image.

The Vue Pro R records digital thermal video, along with radiometric thermal still images, to an on-board micro-SD card. For applications such as electrical inspection, infrastructure assessment, and precision mapping, this on-board recording allows operators to capture high-quality thermal data for post processing and analysis.

An updated mobile app with advanced radiometric functions uses the camera’s Bluetooth interface to connect to iOS and Android devices, making camera set-up and configuration easy. Through the app, operators can configure functions to ensure the best imagery possible for their conditions without having to connect the camera to a computer.
